Joe Bahat
Joe Bahat is Chairman & CEO
of Kesher-Rent-A-Car, an international licensee for Hertz
Corp. He also acted as Managing Director for Hertz Israel
Ltd. – a subsidiary of Hertz Corp. Since taking
leadership of Kesher-Rent-A-Car, its fleet has grown from
less than 500 vehicles to more than 10,000 – with
revenues exceeding $120 million.
In 1990, Joe also took the challenge
to establish the sole distribution for Honda Motor Vehicles
in Israel. The company began with a single showroom and
service facility but grew within three years to a network
of over 20 dealerships, with three wholly-owned. Within
five years, Honda had secured more than 5% of passenger
car sales in Israel.
Joe previously spent 20 years
with Ford Motor Company. He joined Ford in the UK and
served in marketing, sales and export operations. He returned
to Israel to join the sole distributor for the Ford Motor
Company as commercial manager, and Ford secured the number
one position in Israeli passenger car sales.
Joe is currently a member of
the Board of Directors of the United Mizrahi Bank. He
also serves as Vice President of the Israeli Federation
of the Chamber of Commerce, Chairman of Mosdot House,
and as Economic Ambassador to the Ministry of Commerce
& Industry, as well as being a member of the Israel
British Business Council. |

| Edward Braniff
Mr. Braniff joined
Smart Energy Solutions in May 2005 . He brings a wealth
of advisory and management experience, and specific experience
in consolidation, restructuring and financing.
He worked for several years in various
finance positions at AT&T. He was the assistant treasurer,
assistant controller, and the CFO at different times for
operational and international divisions of the corporation.
After AT&T, Ed consulted for major corporations and
served as CFO for The Global TeleExchange and The Cedar
Group.
Mr. Braniff earned his Bachelors
and Masters degrees in Economics from Rutgers University.
He also has a J.D. from Seton Hall University.

Aharon Levinas
Aharon Levinas is highly talented
scientist and prolific inventor, with an extensive background
in software and electronics. His experience in the semiconductor
industry and production of unique microchips led to the
development of the Battery Brain – one of a new
generation of hi-tech automotive products.
Aharon moved to the U.S. in
1991 and established Purisys, which originally developed
high strength water treatment plants for food industries
and water oxidation inventions for the semiconductor industry.
Prior to 1991, Aharon was Chief Engineer at the Granot
Organization and then headed the development group at
Lummus International in Columbus, Georgia. In Israel,
he was President of Aniam Engineering and Aniam Purification.
Aharon earned his Bachelors Degree
in Electronic and Mechanical Engineering from the Technion,
Israel Institute of Technology. He also holds a MA in
Environmental Engineering. |

| Jacob Enoch
Jacob Enoch has
been President of Korean Motors Israel / KIA Distributor
Israel since June 2004. He has also served as the Chairman
of the Board of Directors of the Israeli Car Importers
Association since January 2004 and as a member of the
Board of Directors for Alliance Tire Company in Israel
since December 2003.
In 2001 and 2000,
Jacob served as a member of the Board of Directors for
Europcar Israel. Prior to that, he was engaged in managerial
positions with various automobile rental agencies and
automobile distributors over the course of more than three
decades.
Jacob holds an
MBA in Marketing from Jerusalem University and a Bec in
Mechanical Engineering from Tel Aviv University. |

Tamir
Levinas
Tamir Levinas has been head of
the technical department for Internet Gold (NASDAQ: IGLD),
involving direct responsibility for more than fifty technicians
and engineers. He has managed all aspects of the technical
department, including road map design, project management,
and engineering. Tamir’s teams have included Network
Engineering, Unix Systems, Data Center, Systems-NT, Help
Desk, Infrastructure, NOC, and Telephony & Voice Engineering.
He initiated and lead a strategic
plan to transform Internet Gold from an ISP to a full
service carrier, performing numerous projects including
enterprise connectivity services (MPLS VPNS), introducing
and implementing QOS, and choosing and implementing a
Softswitch for advanced VOIP service for international
voice telephony services.
Tamir has also been responsible
for technical vendor relations and procurement with companies
such as Cisco, Microsoft, IBM, HP, Network Appliances.
His responsibilities included annual technical department
budget planning.
Tamir earned his Bachelors Degree
in Business and IT Management from IDC Herzelia and also
studied computer science at the New Jersey Institute of
Technology. |

| Guy Moshe
Guy Moshe obtained his BSC in Electrical Engineering from Technion, Israel Institute of Technology in Haifa, Israel. From 2004 until 2007, he served as the Executive Director of Mentor Graphics, based in Wilsonville, Oregon. Mr. Moshe also served as Executive Director for the Mentor Development Center in Israel, where he established the Mentor Design Center and managed the ESL business in the DCS division. From 2002 until 2004, he was President and CEO of Summit Design, Inc., of Burlington, MA, and General Manager of Summit Israel and Acting Vice President for World Wide Sales.
Mr. Moshe is not a director in any other reporting companies. Mr. Moshe has not been affiliated with any company that has filed for bankruptcy within the last five years. He does not have any familial relationships with any other directors or executive officers of the Company. There were no transactions since January 1, 2005, or any proposed transactions, to which the Company was or is to be a party, in which Mr. Moshe had or is to have a direct or indirect material interest.

Michael Ben-Ari
Michael Ben-Ari (Greenfield) holds an MBA in finance and marketing from Tel Aviv University and a BA from Brandeis University. He has over 15 years experience in the international financial services industry, and brings extensive management experience, including financing, banking and marketing skills developed in previously held positions. Mr. Ben-Ari is presently a director of Brainstorm Cell Therapeutics Inc., an SEC reporting company. In 1999, he established EGFE, Ltd., a company specializing in alternative investments for international clients, and has been its sole owner and manager since such date. Prior to founding EGFE, he held management positions in Bank Leumi, Israel's second largest bank, and in Supersol, Israel's second largest supermarket chain.
